Terms of Service

These Terms of Service ("Terms") govern your access to and use of the AI Smart Chat platform and widgets (the "Service") provided by Vuntiq("we", "us", "our"). By creating an account or using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you represent that you are authorized to bind it.

1. Accounts

You must provide accurate information and are responsible for activity under your account and for keeping your credentials secure. You must be at least 16 years old and able to form a binding contract. Notify us promptly of any unauthorized use.

2. Plans, trials & billing

• Paid plans may begin with a free trial. Unless cancelled, the workspace is suspended when the trial ends until a paid plan is activated.
• Fees, usage limits, and features are described on our pricing page and in-product. We may enforce plan limits (e.g. message, storage, seat, and AI-spend caps).
• Applicable taxes (including VAT where required) are added to fees.
• Except where required by law, fees are non-refundable. We may change pricing on a going-forward basis with reasonable notice.

3. Acceptable use

You agree not to:

• use the Service for unlawful, harmful, deceptive, or abusive purposes;
• upload content you do not have the right to use, or that infringes others' rights;
• attempt to breach security, bypass rate limits, or access other tenants' data;
• misuse connected data sources or custom tools to reach unauthorized systems;
• resell or provide the Service to third parties except as expressly permitted.

You are responsible for your End Users' interactions with your chatbots and for the content your chatbots produce on your behalf.

4. Your content

You retain ownership of the content you provide. You grant us a limited, worldwide, non-exclusive license to host and process that content solely to provide and improve the Service, including sending relevant content to our AI provider to generate responses. You are responsible for the lawfulness of the content you upload and the data sources you connect.

5. AI output

AI-generated responses may be inaccurate, incomplete, or out of date, and do not constitute professional advice. You are responsible for reviewing and verifying outputs before relying on them. We do not warrant the accuracy of AI output.

6. Third-party services & data sources

The Service integrates third-party providers and lets you connect your own data sources and HTTP tools. Your use of those is subject to their terms, and you are responsible for the systems you connect and any credentials you supply. We are not responsible for third-party services we do not control.

7. Availability

We aim to keep the Service available but do not guarantee uninterrupted operation unless a separate service-level agreement applies. We may modify or discontinue features with reasonable notice.

8. Suspension & termination

We may suspend or terminate access for violation of these Terms, non-payment, or to protect the Service or other users. You may stop using the Service and delete your account at any time; deletion follows the retention schedule in our Privacy Policy. Provisions that by their nature should survive termination (e.g. §§4–5, 9–12, 14) will survive.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.

10. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, or consequential damages, or for lost profits or data. Our aggregate liability for any claim is limited to the amounts you paid for the Service in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold us harmless against claims, damages, and expenses arising from your content, your use of the Service, or your violation of these Terms or applicable law.

12. Governing law & disputes

These Terms are governed by the laws of the jurisdiction in which Vuntiq is established, without regard to conflict-of-laws rules, and the courts of that jurisdiction have exclusive jurisdiction over disputes, except where mandatory local law provides otherwise.

13. Changes

We may update these Terms. Material changes will be notified through the Service or by email, and continued use after the effective date constitutes acceptance.

14. General

• Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us regarding the Service.
• Severability. If any provision is unenforceable, the rest remains in effect.
• Waiver. Failure to enforce a provision is not a waiver of it.
• Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or asset sale.
• Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
• Notices. We may provide notices via the Service or the email on your account.
